What's the opportunity?
We are looking for a skilled Senior Manager, Commercial Legal Counsel who has experience working in a fast-paced environment, can provide practical and solutions-based business guidance and is comfortable taking on a diverse range of responsibilities to support business partners worldwide. The successful candidate will be well-rounded in advising on a variety of legal matters and can synthesize multiple issues quickly in order to support the constantly changing needs of the business.
This position will report to the Senior Director, Head of Commercial and Product Legal and will be a key stakeholder in building out the Legal function at Intercom.
What will I be doing?
- Review and negotiate inbound and outbound contracts, including ability to independently negotiate SaaS agreements, data processing agreements and business associate agreements with sophisticated, enterprise customers
- Respond to legal requests from Sales, Customer Support, Sales Operations, Marketing and other internal clients and work cross-functionally with Security and Product and Engineering.to determine the appropriate course of action
- Develop and manage various contract templates and negotiation playbooks and improve efficiency of sales contracting processes in collaboration with Sales Operations
- Deliver legal trainings and develop materials in collaboration with Sales Enablement
- Keep abreast of changes to relevant data protection, data privacy, information security, commercial contracting and AI-related regulations and guidelines
- Research and adopt AI solutions to innovate and streamline the contract review process and to respond to customer RFPs and questionnaires
- Assist with special projects that are assigned and collaborate with other members of the Legal team for in order to ensure successful completion
What skills do I need?
- 15+ years of commercial transactional experience at technology companies and/or in a technology transactions-related practice area at a law firm
- People management experience
- Advanced drafting and writing skills, strong negotiation skills and risk evaluation and ability to field escalations and coach and mentor others to develop these skills
- Solid understanding of intellectual property, software licensing and cloud computing
- Working knowledge of data protection, data privacy, information security and AI-related regulations
- Experience with CRM software and automated contract management systems
- Ability to prepare simple, business-influencing work product and insightfully convey a variety of legal principles, train others, share knowledge and subject-matter expertise
- Be able to effectively prioritize and advance multiple transactions happening simultaneously, often on tight deadlines
- J.D. degree from an ABA accredited law school and licensed attorney in good standing with California state bar or ability to be registered as in-house counsel if licensed in another jurisdiction

The base salary range for candidates within the San Francisco Bay Area is $270,000-$322,500. Actual base pay will depend on a variety of factors such as education, skills, experience, location, etc. The base pay range is subject to change and may be modified in the future. All regular employees may also be eligible for the corporate bonus program or a sales incentive (target included in OTE) as well as stock in the form of Restricted Stock Units (RSUs).
