We are a Delaware-incorporated, remote-first serial acquirer of SaaS companies across North America and Europe. With a portfolio spanning 6+ jurisdictions, a $100M debt facility, and a 400-person global team, our complexity is high, but our team is lean.
Profile Overview
As our first legal hire, you will build the legal function from the ground up, ideally super-lean by leveraging software, AI, and automation to maximize efficiency—minimizing the need for additional headcount or external counsel. We are a fast-moving serial acquirer of SaaS companies with a global team and a significant debt facility. You will be a key partner to the executive team, ensuring our acquisition engine runs smoothly, our global compliance is airtight, and our corporate governance supports our long-term growth.
Your immediate impact in the first 3-6 months will be:
- Establish a scalable, AI-driven legal operations framework to minimize reliance on external counsel.
- Audit and streamline the legal due diligence process for our M&A pipeline to support ~5 acquisitions per year.
- Take full ownership of the corporate secretarial duties and governance for our Delaware parent and global subsidiaries.
Your responsibilities
- M&A Execution: Lead legal due diligence and partner with the M&A team and the board during transaction execution; manage outside counsel across various jurisdictions to ensure deals are closed on time and within budget.
- Corporate Governance: Manage our Delaware parent entity and subsidiaries in Germany, Austria, France, Finland, Canada, and the US, acting as the corporate secretary for board meetings.
- Capital Structure & Debt: Oversee the legal requirements of our $100M debt facility, including compliance with financial covenants and reporting obligations.
- Global Employment & HR: Partner with People Ops to manage a hybrid workforce of 400+ (FTEs, Contractors, and EORs) and ensure our SAR (Stock Appreciation Rights) program is compliant.
- Commercial & SaaS: Streamline customer contracts and privacy policies (GDPR/CCPA) across the portfolio to ensure best-in-class standards.
- Risk & Compliance: Build scalable processes for IP protection, data privacy, and internal audits.
What You bring to the table
- Legal Qualification: JD, LLM, or equivalent degree, admitted to practice in a major jurisdiction (US or EU preferred).
- M&A & Private Equity Expertise: 6+ years of experience with a heavy emphasis on M&A or Venture Capital; in-house experience at a "buy-and-build" platform is a major plus.
- Cross-Border Proficiency: Comfortable navigating both US and European legal frameworks in a remote-first, asynchronous environment.
- Operational & AI Mindset: You view legal as a business enabler and are eager to adopt AI tools (like ChatGPT Enterprise or Gemini) to scale efficiency.
- Strategic Influence: Ability to set functional strategy, align with senior leadership, and act as a multiplier across the organization.
